Would you like to actively support and help shape the transformation of Fresenius, a global healthcare group? Then we can offer you an exciting perspective in the Legal M&A/Transformation department.
You will advise Fresenius and the business units belonging to the global Fresenius portfolio on transformation and portfolio management in the context of #FutureFresenius; in particular on the acquisition and sale of companies and parts of companies, joint ventures, venture capital investments and (structural) measures under company law.
You are the direct contact person for the extended management on all project-related issues.
You will be responsible for managing the legal workstream in the project and transaction process (including legal structuring, due diligence, drafting contracts and corporate documentation, preparing for signing and closing) and managing the external legal advisors.
You will work closely with the Fresenius Corporate Development team and other Fresenius Corporate and Segment functions such as Investor Relations, Strategic Finance and Tax throughout the project, acting as a true business partner at eye level with clear opinions and precise recommendations on all issues discussed in the project team.
You are (co-)responsible for leading negotiations with Fresenius' business partners.
State examination in law with well above average grades
Professional experience in legal advice and the management of M&A projects or corporate law structural measures in an international commercial law firm or an industrial company
Strong interest in interdisciplinary and cross-border project work
Pragmatic, creative in dealing with legal issues and presenting them to management
Risk-based decision-making skills, taking into account the economic framework conditions and objectives
A high degree of personal responsibility, teamwork and communication skills
Business fluent in German and English
